[Remote] ASSISTANT GENERAL COUNSEL - FINANCE
Note: The job is a remote job and is open to candidates in USA. Zelestra is a company focused on driving global decarbonization with innovative renewable energy solutions. The Assistant General Counsel - Finance will lead project finance and tax monetization transactions while collaborating with senior leadership and other stakeholders to support the company's mission.
Responsibilities
- Primary internal legal advisor on all of Zelestra’s back-leverage, construction/term, tax equity bridge, and tax credit transfer bridge financings
- Provide advice regarding transaction structuring and execution
- Provide advice regarding equipment and invoice finance transactions
- Coordinate borrower diligence responses
- Coordinate satisfaction of closing conditions (real estate, permitting, etc.)
- Oversight of External Counsel
- Review, draft and negotiate a broad range of commercial agreements
- Advise on site control, interconnection, permitting, and environmental matters
- Assist with M&A transactions
- Support corporate governance, and development of internal policies
Skills
- Juris Doctor (JD) from an accredited law school; active bar membership in at least one U.S. state
- 8–10+ years of legal experience, ideally with a mix of law firm and in‑house roles
- Deep experience with project finance and tax monetization structures
- Expertise in renewable energy development
- Strong analytical, communication, and stakeholder‑management skills
